Retailer Terms

1. Definitions

These Retailer Terms supplement our Platform Terms of Service and govern your use of Masterlinq as a Retailer. Capitalized terms not defined here have the meanings given in the Platform Terms of Service.

  • "Retailer" means a bicycle retail business that has registered for a Masterlinq account to create and operate a Storefront
  • "Storefront" means the customized e-commerce website powered by Masterlinq that displays and sells products to Customers
  • "Retailer Content" means all text, images, logos, branding, and other materials you upload or provide for your Storefront
  • "Customer Data" means information about Customers who purchase through your Storefront
  • "Supplier Products" means products sourced from Suppliers through the Masterlinq marketplace

2. Retailer Account

To use Masterlinq as a Retailer, you must create an account and provide accurate business information:

  • Legal business name and entity type
  • Business address and contact information
  • Tax identification number (EIN or equivalent)
  • Valid payment method for subscription fees
  • Bank account information for receiving payouts

You represent and warrant that you are authorized to conduct business and that all information provided is accurate and current. You must promptly update your account information if it changes.

Unlike some platforms, Masterlinq does not require you to operate a brick-and-mortar retail location. Online-only retailers are welcome on our platform.


3. Storefront Setup

Masterlinq provides tools to create and customize your Storefront:

  • Custom domain connection or Masterlinq subdomain
  • Branding customization (logo, colors, fonts)
  • Page layouts and navigation structure
  • Product category organization
  • Promotional banners and featured products

You are responsible for the accuracy and legality of all Retailer Content on your Storefront. You must ensure your Storefront complies with all applicable laws, including consumer protection regulations, accessibility requirements, and advertising standards.

Masterlinq reserves the right to remove or modify content that violates our Acceptable Use Policy or applicable law.


4. Product Listings

You may list products on your Storefront from two sources:

Supplier Products:

  • Browse and select products from approved Suppliers in the Masterlinq marketplace
  • Set your own retail prices and margins
  • Inventory is automatically synced from Supplier systems
  • Orders are fulfilled directly by Suppliers (dropship model)

Your Own Inventory:

  • Create custom product listings for items you stock
  • Manage your own inventory levels
  • Fulfill orders from your own warehouse or location
  • Set your own shipping methods and rates

All product listings must include accurate descriptions, specifications, pricing, and availability. You are responsible for ensuring listed products comply with all applicable safety standards and regulations.


5. Order Fulfillment

When Customers place orders through your Storefront:

  • You receive order notifications via email and dashboard
  • Supplier Products are automatically routed to Suppliers for fulfillment
  • Your own inventory orders must be fulfilled by you within stated timeframes
  • Tracking information must be provided for all shipments
  • Customers receive automated shipping notifications

You are the merchant of record for all transactions on your Storefront. This means you are responsible for:

  • Customer service and communication
  • Handling returns and refunds according to your stated policies
  • Resolving disputes and complaints
  • Compliance with consumer protection laws

For Supplier Products, Suppliers handle physical fulfillment, but you remain responsible for the customer relationship.


6. Fees and Payment

Retailer fees consist of the following components:

Subscription Fees:

  • Monthly or annual subscription based on your selected plan
  • Billed in advance on the first day of each billing period
  • Plan features and limits vary by tier

Transaction Fees:

  • Percentage of each sale processed through your Storefront
  • Payment processing fees (passed through from Stripe)
  • Rates vary by plan tier and volume

Payouts:

  • Customer payments are collected by Masterlinq via Stripe
  • Supplier costs and platform fees are deducted
  • Net proceeds are deposited to your bank account
  • Standard payout schedule is weekly; daily payouts available on higher tiers

7. Branding and Customization

Your Storefront operates under your brand, not Masterlinq's:

  • Your logo and branding are displayed prominently
  • Customer communications come from your brand
  • You may use your own domain name
  • Masterlinq branding is minimal (small "Powered by" footer link)

You grant Masterlinq a limited license to display your Retailer Content on your Storefront and in platform marketing materials (such as case studies or partner directories), unless you opt out.

You retain all ownership rights to your Retailer Content. Upon account termination, you may request export of your content and data.


8. Data and Analytics

Masterlinq provides analytics and reporting tools:

  • Sales reports and revenue tracking
  • Customer behavior analytics
  • Inventory and product performance
  • Marketing campaign effectiveness

Customer Data:

You have access to Customer Data for orders placed through your Storefront. You may use this data for fulfillment, customer service, and marketing (subject to applicable privacy laws and customer consent). You must handle Customer Data in accordance with our Privacy Policy and Data Processing Agreement.

You may not sell Customer Data to third parties or use it for purposes unrelated to your Storefront business.


9. Term and Termination

Your Retailer account continues until terminated by either party:

  • You may cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of your current billing period
  • No refunds for partial billing periods
  • Masterlinq may terminate for cause (violation of terms, non-payment, fraud)

Upon Termination:

  • Your Storefront will be deactivated
  • You must fulfill any pending orders
  • Outstanding fees remain payable
  • Pending payouts will be processed on the normal schedule
  • You may request data export within 30 days
  • After 30 days, your data may be deleted

Sections relating to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.
